Opkivo Terms of Service

These terms govern access to and use of Opkivo.

These Terms of Service govern access to and use of Opkivo, available at opkivo.com and through any related websites, applications, APIs, products, subscriptions, and services operated under the Opkivo name.

Opkivo is provided by APPTHEWORK SRL, a Romanian limited liability company.

By accessing or using Opkivo, you agree to these Terms. If you use Opkivo on behalf of a company, organisation, client, team, or other legal entity, you confirm that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, do not use Opkivo.

1. The service

Opkivo is a software as a service product for operational work management. It may include inbox features, customer communication tools, internal notes, task management, knowledge tools, user management, workspace administration, reporting, integrations, and other related features.

Opkivo is a software tool. It does not provide legal, financial, tax, accounting, employment, security, customer service, or business advice. You remain responsible for how you use the service, what you enter into it, what you send through it, what you decide based on it, and how your organisation operates. Software is not a replacement for judgement, however often the species attempts this experiment.

2. Business use

Opkivo is intended primarily for business and professional use.

If mandatory consumer protection rules apply to you, nothing in these Terms excludes rights that cannot be excluded under applicable law.

3. Accounts

To use Opkivo, you may need to create an account or be invited into a workspace.

You are responsible for:

  1. Keeping your login credentials secure.
  2. Ensuring that your account details are accurate and current.
  3. All activity under your account, unless caused by our proven fault.
  4. Ensuring that your users, employees, contractors, clients, and agents comply with these Terms.
  5. Immediately notifying us at hello@opkivo.com if you suspect unauthorised access.

We may suspend or restrict your account or workspace if we reasonably believe that it is being used unlawfully, abusively, insecurely, fraudulently, or in a way that may harm Opkivo, APPTHEWORK SRL, users, third parties, or infrastructure.

4. Workspaces and administration

If you create, own, or administer an Opkivo workspace, you are responsible for the configuration and use of that workspace.

This includes:

  1. User invitations.
  2. Access rights.
  3. Permissions.
  4. Customer data.
  5. Internal notes.
  6. Tasks.
  7. Content.
  8. Integrations.
  9. Billing.
  10. Security settings.
  11. Retention decisions.
  12. Exports and backups.

We are not responsible for internal mistakes, wrong permissions, user errors, accidental disclosure caused by your users, poor configuration, misuse, or operational decisions made inside your workspace.

5. Customer content

Customer Content means any data, text, message, email, file, note, task, comment, knowledge base entry, customer record, business record, attachment, configuration, or other material submitted to, stored in, imported into, transmitted through, or generated inside Opkivo by you or your users.

You retain ownership of Customer Content.

You grant APPTHEWORK SRL a limited, worldwide, non exclusive, royalty free licence to host, store, copy, transmit, display, process, secure, back up, and otherwise use Customer Content only as needed to provide, maintain, protect, support, and improve Opkivo.

You are solely responsible for Customer Content, including its legality, accuracy, quality, integrity, confidentiality, reliability, and suitability.

You confirm that you have all rights, permissions, notices, consents, lawful bases, and authority required to use Customer Content through Opkivo.

6. Prohibited use

You must not use Opkivo to:

  1. Violate applicable law or third party rights.
  2. Send spam, phishing, scams, malware, abusive messages, or deceptive communication.
  3. Store or process unlawful, defamatory, harassing, exploitative, discriminatory, infringing, or harmful content.
  4. Interfere with, overload, attack, probe, scan, or disrupt Opkivo or related infrastructure.
  5. Attempt to gain unauthorised access to systems, accounts, workspaces, data, or networks.
  6. Reverse engineer, copy, scrape, resell, or misuse Opkivo unless expressly allowed by law or by written permission.
  7. Misrepresent identity, authority, affiliation, product, service, or commercial offering.
  8. Use Opkivo for high risk activities where failure could lead to death, personal injury, severe property damage, critical infrastructure disruption, or regulated emergency operations.
  9. Upload sensitive personal data unless you have confirmed that the processing is lawful, necessary, proportionate, secure, and covered by appropriate safeguards.
  10. Use Opkivo in a way that may damage APPTHEWORK SRL, other users, third parties, infrastructure, reputation, or service availability.

We may remove content, suspend accounts, restrict workspaces, or terminate access if we reasonably believe that these Terms have been breached.

7. Subscriptions and billing

Opkivo is sold as a subscription based SaaS product.

Subscriptions may be purchased through Stripe or another payment provider selected by us.

By subscribing, you authorise us and our payment providers to charge the applicable fees, taxes, renewals, and other amounts related to your subscription.

Unless otherwise stated:

  1. Subscription fees are billed in advance.
  2. Subscriptions renew automatically until cancelled.
  3. You are responsible for cancelling before renewal if you do not want to continue.
  4. Fees are non refundable except where required by law or expressly agreed in writing.
  5. Taxes, bank charges, currency conversion fees, and payment provider fees may apply.
  6. Failed payments may result in suspension, downgrade, or termination of access.

We may change prices, plans, limits, features, and billing terms from time to time. Where required, we will provide reasonable notice before material changes apply to an active paid subscription.

8. Trials, free plans, and beta features

We may offer free plans, trials, beta features, preview features, or experimental functionality.

Such features are provided for testing, evaluation, or limited use. They may be incomplete, unstable, unavailable, limited, changed, withdrawn, or discontinued at any time.

To the maximum extent permitted by law, APPTHEWORK SRL has no liability for free plans, trials, beta features, preview features, or experimental functionality.

9. Cancellation and termination by you

You may cancel your subscription or stop using Opkivo at any time.

Cancellation stops future renewal charges, unless the subscription terms shown at checkout or in your account say otherwise.

Cancellation does not automatically create a refund for amounts already paid, except where required by law or expressly agreed in writing.

You are responsible for exporting Customer Content before cancellation, downgrade, suspension, or termination where export functionality is available.

10. Suspension and termination by us

We may suspend, restrict, downgrade, or terminate your access to Opkivo if:

  1. You breach these Terms.
  2. You fail to pay fees when due.
  3. Payment is reversed, disputed, charged back, or suspected to be fraudulent.
  4. Your use creates legal, security, reputational, technical, financial, or operational risk.
  5. You misuse the service or exceed reasonable usage limits.
  6. We are required to do so by law, authority request, court order, payment provider decision, infrastructure provider decision, or other binding obligation.
  7. We discontinue Opkivo or a relevant feature.

After termination, Customer Content may be deleted, retained, exported, restricted, or preserved according to our policies, technical backup cycles, legal obligations, and any applicable agreement.

11. Data protection

Where APPTHEWORK SRL processes personal data for its own purposes, including account administration, billing, product operation, security, analytics, support, marketing, and legal compliance, APPTHEWORK SRL acts as controller.

Where APPTHEWORK SRL processes personal data contained in Customer Content on behalf of a workspace owner or customer, the customer is generally the controller and APPTHEWORK SRL acts as processor.

You are responsible for determining the lawful basis, purpose, notices, transparency information, access permissions, retention periods, and instructions relating to personal data in Customer Content.

A separate Data Processing Addendum may apply where required. If you need one, contact hello@opkivo.com.

12. Security

We will use reasonable technical and organisational measures designed to protect Opkivo and Customer Content against unauthorised access, accidental loss, misuse, alteration, and disclosure.

No online service can guarantee perfect security, uninterrupted availability, or complete immunity from attacks, errors, vulnerabilities, human mistakes, infrastructure failures, or data loss.

You are responsible for securing your own accounts, devices, browsers, email systems, integrations, users, passwords, permissions, networks, and backups.

13. Integrations and third party services

Opkivo may depend on or integrate with third party services, including hosting providers, infrastructure providers, authentication providers, email providers, payment providers, analytics providers, monitoring providers, communication tools, and other external systems.

We are not responsible for third party services, third party downtime, third party security incidents, third party data handling, third party pricing, API changes, service restrictions, account suspensions, or external provider decisions.

Your use of third party services may be subject to separate terms and policies.

14. Availability and service changes

Opkivo is provided on an as is and as available basis.

We may change, improve, limit, suspend, replace, discontinue, or remove features at any time.

We do not guarantee uninterrupted availability, specific uptime, permanent feature availability, compatibility with all systems, support for every workflow, or continuous support for every browser, email provider, integration, configuration, or use case.

Any service level commitment must be expressly agreed in writing.

15. Intellectual property

APPTHEWORK SRL and its licensors own all rights, title, and interest in Opkivo, including software, code, design, interfaces, workflows, databases, documentation, trademarks, branding, logos, product names, and related materials.

These Terms do not transfer any intellectual property rights to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on Opkivo unless expressly allowed by law or by written permission from APPTHEWORK SRL.

16. Feedback

If you send us ideas, suggestions, requests, comments, bug reports, or other feedback, you grant APPTHEWORK SRL the right to use them without restriction, payment, attribution, or obligation.

We may use feedback to improve Opkivo or create new products, features, services, or commercial offerings.

17. Confidentiality

You may receive non public information about Opkivo, including technical, commercial, product, pricing, roadmap, or security information.

You must keep such information confidential and use it only for the purpose for which it was provided.

This does not apply to information that is already public, independently developed, lawfully received from another source, or required to be disclosed by law.

18. Disclaimer of warranties

To the maximum extent permitted by law, Opkivo is provided without warranties of any kind, whether express, implied, statutory, or otherwise.

We expressly disclaim all warranties of merchantability, fitness for a particular purpose, title, non infringement, accuracy, reliability, availability, security, compatibility, and uninterrupted operation.

We do not warrant that Opkivo will meet your requirements, achieve any business outcome, prevent operational mistakes, prevent customer disputes, increase revenue, reduce costs, improve performance, preserve every message, prevent every error, or solve organisational chaos produced by humans with inbox access.

19. Limitation of liability

To the maximum extent permitted by law, APPTHEWORK SRL, its owners, directors, employees, contractors, affiliates, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages.

This includes loss of profit, revenue, business, goodwill, reputation, data, customers, opportunities, contracts, anticipated savings, productivity, or business interruption.

To the maximum extent permitted by law, APPTHEWORK SRL shall not be liable for:

  1. Customer Content.
  2. Your configuration choices.
  3. Your internal processes.
  4. Your use or misuse of Opkivo.
  5. Actions or omissions of your users, employees, contractors, clients, or agents.
  6. Third party services.
  7. Payment provider decisions.
  8. Email delivery failures caused by external systems.
  9. Unauthorised access caused by your credentials, devices, systems, users, permissions, integrations, or networks.
  10. Loss of data where you failed to maintain appropriate exports, backups, or records outside Opkivo.
  11. Compliance failures caused by your business, notices, permissions, lawful bases, instructions, workflows, or communications.

To the maximum extent permitted by law, APPTHEWORK SRL total aggregate liability for all claims relating to Opkivo shall not exceed the lower of:

  1. The amount paid by you to APPTHEWORK SRL for Opkivo during the one month before the event giving rise to liability.
  2. EUR 100.

For free plans, trials, beta features, preview features, and experimental functionality, our total aggregate liability is excluded to the maximum extent permitted by law.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

20. Indemnity

You agree to defend, indemnify, and hold harmless APPTHEWORK SRL, its owners, directors, employees, contractors, affiliates, suppliers, and licensors from and against any claims, damages, losses, liabilities, penalties, costs, and expenses arising from:

  1. Your use of Opkivo.
  2. Customer Content.
  3. Your breach of these Terms.
  4. Your breach of law.
  5. Your breach of third party rights.
  6. Your users, employees, contractors, clients, agents, or customers.
  7. Your instructions to us.
  8. Your business operations, communications, workflows, products, or services.

21. Governing law and jurisdiction

These Terms are governed by the laws of Romania.

Unless mandatory law provides otherwise, the courts of Bucharest, Romania shall have exclusive jurisdiction over disputes arising from or relating to these Terms, Opkivo, or any related subscription.

22. Changes to these Terms

We may update these Terms from time to time.

If changes are material, we may notify you by email, in app notice, website notice, or another reasonable method.

Your continued use of Opkivo after updated Terms become effective means that you accept the updated Terms.
